#Honduras 🇭🇳 #APriori_Informs: Law on Transparency and Centralized Register of Ultimate Beneficial Owners Enters into Force

Our APriori Honduras business line informs you that organizations should begin preparing to comply with new corporate transparency obligations following the entry into force of the Law on Transparency and Centralized Register of Ultimate Beneficial Owners, published in the Official Gazette on July 6, 2026, through Decree No. 127-2026. The new legislation seeks to strengthen mechanisms for the prevention of money laundering, terrorist financing, and other financial crimes.

The law establishes the creation of a Centralized Register of Ultimate Beneficial Owners, to be administered by the National Banking and Insurance Commission (CNBS in Spanish). The register will include business entities incorporated in Honduras, branches of foreign companies, and other legal entities and arrangements subject to this law.

Following the law's entry into force, the CNBS will have 60 days to issue the implementing regulations establishing the operational framework for the register. Thereafter, reporting entities will have a six-month period to complete the registration process and submit the required information.

Reporting entities include, in addition to commercial companies, trusts and investment funds, all of which must provide the required information by means of an affidavit, in accordance with the requirements to be established in the implementing regulations.

The law defines an ultimate beneficial owner as the natural person who directly or indirectly owns or controls an interest equal to or greater than 25% of a legal entity or who otherwise exercises effective control over it. The purpose of the register is to identify the individuals who ultimately own or control legal entities and arrangements, thereby reducing corporate anonymity and strengthening the traceability of financial and corporate transactions.

The legislation further provides that the information recorded in the register will be treated as confidential and may only be accessed by competent authorities and other persons or institutions legally authorized to do so.

The entry into force of this legislation represents an important step toward strengthening corporate transparency standards in Honduras. Organizations are therefore encouraged to review their corporate structures, identify their ultimate beneficial owners, and begin preparing to comply in a timely manner with the obligations that will be further developed in the implementing regulations.
