#CostaRica 🇨🇷 #APriori_Informs: Mandatory Registration of Email Addresses as of June 4

The National Registry has announced that, effective June 4, 2025, all newly incorporated business entities must include an email address in their articles of incorporation, to be used as the official means of notification. Failure to do so will be considered a registration defect and will prevent its registration.

Companies already incorporated must meet this requirement no later than June 4, 2026, through a public deed executed by the legal representative or by protocolization of a shareholders’ or partners’ meeting, and the corresponding edict must be published in the Official Gazette.

This change eliminates the role of the registered agent.

If the only procedure being carried out is the registration of the email address, no stamp duties or registration fees will apply. However, if other amendments are made in the same filing, the corresponding taxes and fees will be applicable.

The email address will be registered exactly as stated in the notarial document. Its validity and operability will be the responsibility of the applicant. The use of symbols, numbers, and abbreviations is permitted, in accordance with standard email formatting.
